Terms of Service

1. Acceptance of Terms

By accessing or using AI Business Manager ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you ("Subscriber" or "you") and AI Business Manager ("we," "us," or "our").

2. Description of Service

AI Business Manager is a software-as-a-service (SaaS) platform that provides AI-powered business management tools for service-based businesses, including but not limited to: AI SMS handling, appointment scheduling, invoice management, customer relationship management, call forwarding/handling, automated follow-ups, and daily business briefings.

3. AI Disclaimer

The Service uses artificial intelligence to handle customer communications, schedule appointments, and generate responses. While we strive for accuracy, AI-generated responses may occasionally be incorrect, incomplete, or inappropriate. You acknowledge that: (a) AI responses are generated automatically and do not constitute professional advice; (b) you are responsible for reviewing and verifying AI-generated content; (c) we are not liable for any loss or damage resulting from actions taken based on AI-generated communications; (d) AI capabilities may change or improve over time.

4. Subscription Plans & Billing

The Service is available on a monthly subscription basis. Current pricing: Standard Plan ($99.99/month) and Premium Plan ($179.99/month). Prices are subject to change with 30 days' written notice. All fees are billed in Canadian Dollars (CAD) unless otherwise specified. Subscriptions automatically renew each month unless cancelled.

5. Cancellation & Refunds

You may cancel your subscription at any time. Upon cancellation: your subscription remains active until the end of your current billing period; no partial-month refunds are issued; your data is retained for 90 days after your subscription ends, allowing you to re-subscribe and restore access; after 90 days, all data is permanently deleted and your phone number is released. We offer a discretionary 14-day goodwill refund for new subscribers. Contact support to request one.

6. Data Ownership

You retain full ownership of all data you upload, create, or receive through the Service, including customer records, appointment data, invoices, and message logs. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service. We do not sell, share, or use your data for any purpose other than delivering the Service and improving our platform.

7. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) send spam, unsolicited messages, or harassing communications through the Service; (c) attempt to gain unauthorized access to any part of the Service; (d) interfere with or disrupt the Service or servers; (e) use the Service to transmit any malware, viruses, or malicious code; (f) violate any applicable laws, including telecommunications regulations (TCPA, CASL, etc.).

8. Service Availability

We use commercially reasonable efforts to ensure the Service is available 99.9% of the time. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled outages, third-party service disruptions (Twilio, Stripe, AI providers), or force majeure events. We will provide reasonable notice of planned maintenance when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI Business Manager and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party, including your customers; (d) any content or data you transmit through the Service.

11. Modifications to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you may cancel your subscription.

12. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the British Columbia International Commercial Arbitration Centre (BCICAC). The arbitration shall take place in British Columbia, Canada. The language of arbitration shall be English. Each party shall bear its own costs of arbitration. The arbitrator's decision shall be final and binding.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to conflict of law principles.
